Terms of Service

1. Scope of Work & SOW

NORDIC TECH SYSTEM provides digital engineering, custom web applications, cloud infrastructure, mobile app development (iOS & Android), business workflow integrations, and search engine optimization.

All project specifics, milestones, deliverable criteria, and timelines are codified in written Statements of Work (SOW) agreed upon prior to project commencement. Any additional feature requests beyond the agreed SOW will be scoped under mutual change orders.

2. 100% Code & IP Ownership

Full Assignment of All Deliverables: — Upon final milestone payment, all proprietary source code, database architectures, UI design files, and custom algorithms created specifically for the Client become 100% the Client's perpetual and exclusive legal property.

NORDIC TECH SYSTEM retains zero ongoing vendor licensing royalties, backdoors, or proprietary lock-ins. Open-source libraries incorporated into the deliverables remain subject to their respective permissive licenses (e.g. MIT, Apache 2.0).

3. Payment & Milestone Invoicing

To provide transparency and protect both parties, project compensation is structured across verifiable milestones:

Kickoff Deposit (30%): — Initiates discovery, wireframing & cloud setup

Functional Demo Milestone (40%): — Delivered upon functional staging sprint sign-off

Final Deployment & Handover (30%): — Transfers production DNS, git repo & IP ownership

Invoices are issued with 14 calendar days payment terms in Norwegian Krone (NOK), Swedish Krona (SEK), Danish Krone (DKK), Euro (EUR), US Dollar (USD), or British Pound (GBP) via bank transfer or card.

4. Warranties & Support Agreements

Post-Launch Bug Warranty — Defects or reproducible bugs arising within the agreed warranty period post-launch are resolved with priority support.

Ongoing Support & Maintenance — Structured maintenance retainers covering security updates, dependency patches, and proactive monitoring.

5. Client Responsibilities

Rapid delivery requires active collaboration. The Client agrees to provide necessary brand assets, API credentials, and design feedback within 5 business days of staging milestone presentations to avoid project schedule delays.

6. Confidentiality & NDA

Both parties agree to treat all business plans, customer databases, technical architectures, and financial figures disclosed during the engagement as strictly confidential for a period of 5 years following project completion.

7. Limitation of Liability

To the maximum extent permitted by Norwegian law, neither party shall be liable for indirect, incidental, or consequential damages. Total cumulative aggregate liability under any Statement of Work is capped at the total amount paid by the Client under that specific SOW during the preceding 12 months.

8. Governing Law & Jurisdiction

These Terms of Service and any associated Statements of Work are governed exclusively by the laws of Norway, without regard to conflict of law rules.

Any legal dispute arising out of or in connection with this agreement shall be resolved before the competent courts of Norway.
